Frequently Asked Questions.
Should I have a commercial lease reviewed before signing?
Yes. Commercial leases are negotiable and the standard forms still leave a lot open, including rent review mechanisms, outgoings, make-good obligations at the end of the term, and what happens if you want to assign or sublet. We review the terms against how you actually intend to use the premises and tell you which clauses are worth pushing back on.
What due diligence should I do before buying commercial property?
Typically the title and any registered interests, the zoning and resource consents, building compliance including the building warrant of fitness, existing leases and the quality of the tenants, and any contamination history on the site. We set the enquiries up as conditions in the agreement so you have time to get answers before you are committed.
How is buying a business different from buying its premises?
They are separate transactions and often happen together. A business sale covers goodwill, plant, stock, staff entitlements and restraints of trade, while the property side deals with the title or the lease. GST treatment differs between the two, so we work with your accountant to get the structure and apportionment right.
What happens if a dispute arises with a tenant or landlord?
Most commercial leases set out a process, and in practice these are usually resolved by negotiation once each side understands its position. We start by working out what the lease actually requires, then advise on the practical options. Formal steps are available if needed, but they are rarely the quickest route to a workable outcome.
